Bangkok: The SEC has informed the NRF to expedite the submission of the revised financial statements for the year 2024 and the first quarter of 2025, ready for public disclosure via the SETLink system as soon as possible, as scheduled on 30 June 2025, stating that there is no sufficient reason to postpone the submission.
According to Thai News Agency, the Securities and Exchange Commission (SEC) notified NR Instant Produce Public Company Limited (NRF) to amend its financial statements for the year 2024 and the first quarter of 2025. The amendments pertain to the accounting for the change in shareholding proportion in Kairous Asia Limited (KAL), which does not meet the definition of a business under the relevant financial reporting standards. Additionally, the SEC highlighted the consideration of impairment of assets related to NRF's subsidiary, Regeneration Capital Company Limited (RCL), an indirect shareholder of KAL, in its separate financial statements. The submission of the amended financial statements is due on June 30, 2025.
Later, NRF informed that NRF and the auditors were in the process of examining several issues, which required time to prepare and examine the information. Therefore, the deadline for submitting the revised financial statements for the year 2024 and the first quarter of 2025 was extended by another 60 days from the due date.
The SEC considered that NRF is capable of revising the financial statements in the aforementioned issues within the original deadline. In addition, financial statements are important information that investors and shareholders use to make investment decisions and monitor the performance of listed companies. Therefore, there is no sufficient reason for NRF to postpone the deadline for submitting the revised financial statements for the year 2024 and the first quarter of 2025 as requested. The SEC has notified NRF to submit the said financial statements, including related reports, to the SEC and to disclose the said financial statements to the public via the listed company information disclosure system of the Stock Exchange of Thailand (SETLink system) as soon as possible.
